The rules of engagement. Marketing services, fees, cancellations, refunds, and everything else you should know before you work with us.

1. Who We Are

These Terms and Conditions (the "Terms") govern your engagement with Somizu LTD ("Somizu", "we", "us", "our"), a company registered in the United Kingdom with our registered office at 63-66 Hatton Garden, London, United Kingdom, EC1N 8LE.

By engaging Somizu, signing a proposal, or paying an invoice for our services, you ("the Client", "you") agree to these Terms. If you do not agree, do not engage us. Questions can be sent to [email protected].

2. Services

Somizu provides digital marketing services, which may include but are not limited to:

  • Social media management (Instagram, TikTok, LinkedIn, and related platforms)
  • Video production and editing
  • Content strategy and creative direction
  • Lead generation, sales funnel and monetization strategy
  • Personal brand and executive presence building
  • Remote staffing and dedicated assistant services

The exact scope of work for any engagement is described in the proposal, statement of work, or service agreement signed between you and Somizu (the "SOW"). The SOW takes precedence over these Terms where there is a direct conflict on a specific point.

3. Engagement and Onboarding

Engagements begin once both parties have agreed on the scope, fees, and start date in writing (email confirmation or a signed SOW is sufficient), and the first invoice has been paid. We will begin onboarding and producing deliverables on the agreed start date.

4. Fees and Payment

Fees for each engagement are set out in the relevant SOW. Unless otherwise agreed in writing:

  • All fees are invoiced monthly in advance.
  • Invoices are payable within 7 days of issue.
  • All amounts are exclusive of any applicable taxes (e.g. VAT, GST), which are added where required.
  • Late payments may attract a late fee and may result in pause or termination of services.

5. Cancellations

Either party may cancel an ongoing engagement by giving at least 2 weeks prior written notice (email to [email protected] is sufficient).

During the notice period, we will continue delivering services and you remain liable for fees up to and including the final day of service. Cancellations made with less than 2 weeks notice may remain billable up to the end of the 2-week notice window.

6. Refunds

Refunds are available only for cancellations made within the first month of an engagement. If you cancel within your first month of service, you may request a refund for any unused portion of fees paid for that month, on a pro-rata basis.

After the first month, no refunds are issued for cancellations. Fees already paid for the current billing period remain payable and non-refundable. Cancellation simply stops future invoices once the 2-week notice period has elapsed.

To request a refund, email [email protected] within your first month of service with your account details. Approved refunds are processed within 14 business days to the original payment method.

7. Client Responsibilities

You agree to:

  • Provide timely access to accounts, assets, brand guidelines, and information we need to deliver services.
  • Respond to approval requests and feedback loops within reasonable timeframes.
  • Pay invoices on time.
  • Comply with the platform policies and laws applicable to the content we produce on your behalf.

Delays caused by missing or late client input may extend delivery timelines without entitling you to a refund or discount.

8. Intellectual Property

On full payment of the relevant invoice, you own the final deliverables we produce specifically for your brand (e.g. published videos, designed assets, written content).

Somizu retains ownership of our internal systems, templates, processes, frameworks, training materials, and any reusable components used to produce your deliverables. We retain the right to showcase work we have completed for you in our portfolio and case studies unless agreed otherwise in writing.

9. Confidentiality

Both parties agree to keep each other's non-public business information confidential and to use it only for the purposes of the engagement. This obligation survives the end of the engagement.

10. Liability

We will deliver services with reasonable skill and care. However, marketing results depend on many factors outside our control (platform algorithms, market conditions, your product and offer, etc.), so we do not guarantee specific outcomes, revenue figures, or follower counts.

To the maximum extent permitted by law, Somizu's total liability arising out of or in connection with an engagement is limited to the fees paid by you in the 3 months immediately preceding the event giving rise to the claim. Neither party is liable for indirect or consequential losses.

11. Termination for Cause

Either party may terminate an engagement immediately, without the 2-week notice period, if the other party materially breaches these Terms or the SOW and fails to remedy the breach within 7 days of written notice. Examples include non-payment of invoices, breach of confidentiality, or unlawful conduct.

12. SMS and Text Message Communications

As part of our services (and services delivered by companies operating under the Somizu group, including appointment-based businesses we support), you or your customers may receive SMS (text message) communications. This section explains how those messages work and your choices.

What you may receive

  • Appointment confirmations for bookings you or your customers have made
  • Appointment reminders sent in advance of a scheduled time
  • Reschedule and cancellation notices
  • Time-sensitive service updates related to an active booking or engagement
  • Occasional transactional messages relating to your account (e.g. verification codes)

We do not send bulk marketing or promotional SMS to numbers that have not explicitly consented to receive them.

Consent

By providing your mobile number when booking an appointment, submitting a form, or otherwise engaging with a Somizu-operated service, you consent to receive the SMS messages described above at that number. Consent to receive SMS is not a condition of purchasing any goods or services, except where the SMS itself is the mechanism used to confirm the appointment.

Message frequency

Frequency varies by activity. A typical booking generates 2 to 4 messages (confirmation, reminder, and any reschedule or follow-up). We do not send recurring marketing messages by default.

Message and data rates

Message and data rates may apply. Your mobile carrier's standard SMS and data charges apply to any message you send or receive. Somizu is not responsible for carrier charges. Check with your carrier if you are unsure about your plan.

Opting out

You can opt out of SMS communications at any time by replying STOP to any message you receive from us. After you send STOP, you will receive a single confirmation message and then no further SMS messages, other than transactional messages strictly required to complete or cancel an in-progress booking. You can also opt out by emailing [email protected] with the subject line "SMS opt out" and the mobile number you want removed.

Carrier and delivery

Delivery of SMS depends on your mobile carrier and network conditions, and cannot be guaranteed. Carriers are not liable for delayed or undelivered messages. We are not responsible for non-delivery caused by your carrier, device settings, or your having opted out.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes affecting existing engagements will be communicated by email and will not apply retroactively to fees already paid.
